1. Nature of Service

BillVerse provides information listing, display and inquiry-message matching services only (an information service). No information on the Platform (including bill terms, scans, corporate profiles, inquiry messages) constitutes or shall be deemed: (a) an offer, invitation to offer or commitment to sell or purchase any bill or financial product; (b) investment, legal, tax, accounting or any other professional advice; (c) any recommendation, endorsement or approval of any transaction, counterparty or bill.

2. No Verification

• The Platform does NOT verify the authenticity, validity, legality, title or collectability of any bill;
• The Platform does NOT perform bill evaluation, credit assessment, due diligence or risk assessment;
• Uploaded documents are subject only to formal moderation (completeness, format and obvious compliance red lines), which does not confirm authenticity of the content;
• Corporate verification (KYC) verifies only the formal completeness of registration documents and does not constitute any guarantee of a company's creditworthiness or performance capability.

3. No Warranty

To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, collectability of any bill, or the accuracy, completeness, timeliness or continued availability of information.

4. User's Duty of Due Diligence

You acknowledge and agree that, before making any business decision or entering into any transaction, you must independently verify bill authenticity, the creditworthiness of drawer/acceptor, trade background, applicable laws and sanctions compliance, and must obtain dedicated advice from qualified lawyers, accountants or other professional advisers. You may not rely on any information on the Platform.

5. Transactions at Your Own Risk

The Platform does not participate in any transaction: it does not match, negotiate, draft contracts, process endorsement/transfer/delivery of bills, or handle or escrow funds. All transactions are completed offline by the parties themselves. All commercial, legal, credit, FX, tax and other risks and any losses are borne solely by the transacting parties; the Platform assumes no liability.

6. Not a Financial Service

The Platform is not a financial institution, bank, lender, broker, dealer, exchange or payment institution, and does not conduct any licensed financial business. It does not provide financing, discounting, guarantee, acceptance, payment settlement, fund custody or investment management services.

7. Third-Party and User Content

User-published content is the sole responsibility of its publisher. The Platform is not responsible for the accuracy of any user content and assumes no obligations to third parties merely by displaying it. If you believe any content infringes your rights or violates law, please submit it under the Acceptable Use Policy and our reporting mechanism.

8. Service Availability

The Platform will use reasonable efforts to keep the service available but does not guarantee uninterrupted, delay-free, error-free or fully secure operation. The Platform is not liable for interruptions or data delays caused by maintenance, upgrades, failures, networks, force majeure or third-party causes, but will use reasonable efforts to restore the service.

9. Limitation of Liability

To the maximum extent permitted by law, the Platform and its affiliates, directors, employees and agents shall not be liable for any indirect, incidental, special, punitive or consequential losses (including loss of profit, goodwill or data) arising from your use of or inability to use the Platform. The Platform's total aggregate liability shall not exceed the service fees you actually paid to the Platform in the 6 months preceding the claim.

10. Sanctions & Export Control

The service is provided on the condition that it does not breach any applicable sanctions or export-control laws. Entities located in or controlled from sanctioned jurisdictions are ineligible (see the Terms of Service). The Platform may screen, refuse or terminate any user's access at its discretion.

11. Updates

We may update this Disclaimer from time to time. Material changes will be notified through prominent means such as in-app notices. Continued use after updates constitutes acceptance.
